1- SCOPE OF APPLICATION.<\/h3>\n

These general terms and conditions (hereinafter referred to as the \u00ab\u00a0GTC\u00a0\u00bb) govern,
\nthe contractual relationship between the customer
\n– the customer (hereinafter referred to as the \u00ab\u00a0Customer\u00a0\u00bb) and
\n– Swiss Authentis S.A. (hereinafter referred to as \u00ab\u00a0Swiss Authentis\u00a0\u00bb or the \u00ab\u00a0Company\u00a0\u00bb), a company established in Switzerland and registered in the Geneva Commercial Register under number CHE-370.654.438
\nhereinafter jointly referred to as the \u00ab\u00a0Parties\u00a0\u00bb.
\nThe Company is not bound by the Customer’s general or special terms and conditions.
\nThe conclusion of any contract between the Parties automatically implies acceptance of these GTC by the Customer. Only special conditions specified in a contract signed by both Parties, or agreed in writing between the Parties, may derogate from the GCS.
\nDepending on the context and unless otherwise stipulated :
\n– the term \u00ab\u00a0Customer\u00a0\u00bb in these GTS is to be interpreted as including any
\nalso mean any prospect, partner or contractor,
\n– the term \u00ab\u00a0Contract\u00a0\u00bb shall be interpreted as any accepted offer, quotation, purchase order
\norder form, purchase order, service contract, license agreement or any other
\nor any other legal agreement duly signed by the Parties,
\n– the terms \u00ab\u00a0Service\u00a0\u00bb or \u00ab\u00a0Services\u00a0\u00bb are to be understood as any provision of
\ncomputer development, computer program creation, software programming
\nprogram creation, software programming, system parameterization,
\ncomputer hosting, supply of hardware, supply of consumables, project
\nconsumables, project analysis, project coordination, software maintenance
\nsoftware maintenance, hardware maintenance, assistance, carried out and\/or marketed by the Company.
\nAny service provided by the Company implies the customer’s unreserved acceptance of these GTS.<\/p>\n

2- VALIDITY AND CONFIRMATION OF QUOTATION.<\/h3>\n

All quotations issued by the Company, whether called quotation, proforma invoice, offer, technical offer or financial offer (hereinafter referred to as the \u00ab\u00a0Offer\u00a0\u00bb), are valid for a period of one year.
\nOffer\u00a0\u00bb), have a validity period indicated on the Offer. In the absence of any indication, the validity period is deemed to be 10 calendar days from the date of submission of the Offer to the Customer.
\nAny Offer from the Company is deemed to have been accepted by the Customer when the latter confirms its acceptance by any archival means (letter, e-mail, voice recording, purchase order, return of the signed Offer), or validates the Offer by making the first agreed payment. The Contract then comes into force. This Contract may be terminated at any time by the Company if the Customer fails to make the agreed payments.<\/p>\n

3- UPDATING OF THE CGV.<\/h3>\n

The Company reserves the right to modify its GCS at any time. The version of the
\ngoverning the Contract remains that in force at the time the order was confirmed.<\/p>\n

4- PRICES.<\/h3>\n

Depending on the terms of the Contract, prices for Services may be either expressed as a
\n(unit prices), or invoiced on the basis of the time worked (time and materials rates).
\nPrices are exclusive of VAT or any other tax, duty or charge whatsoever, unless explicitly stated otherwise in the Contract.
\nAny complaints concerning the Company’s invoices must reach Swiss Authentis within eight (8) calendar days of receipt of the invoice by the Customer.<\/p>\n

5- METHODS OF PAYMENT.<\/h3>\n

Advance payments and invoices are payable :
\n– by bank transfer to the Company’s bank account indicated on the invoice
\non the invoice,
\n– or online by credit card,
\nor by any other means jointly agreed in writing between the Company and the
\nCustomer.<\/p>\n

6- LATE PAYMENT.<\/h3>\n

Invoices not paid on the due date will be subject, without formal notice, to interest of
\ninterest of 10% per annum (5% for individuals).
\nAny invoice not paid by its due date will automatically entail payment by the customer of
\nby the customer of a fixed indemnity of CHF 30,
\n30 EUR or 30 USD for each reminder sent.
\nIf the customer fails to pay within the agreed time limit, the Company is also entitled, without prejudice to its right to claim damages, to demand payment from the customer.
\nwithout prejudice to its right to reimbursement of costs in accordance with legal
\nlegal provisions, to suspend its own obligations.<\/p>\n

7- LICENSING.<\/h3>\n

In the event of a Software Contract, the Company grants the Customer, against payment of a fee, for an indefinite period as a personal right, a non-exclusive and non-transferable license to use such software, and the routines and other intellectual property incorporated therein, and, where applicable, future versions, upgrades and updates thereof.
\nSuch software and related trade names shall remain the sole property of the Company or its supplier.
\nproperty of the Company or its supplier, and may not be modified or duplicated
\nbe modified or duplicated by the Customer or used for any purpose other than the strict application for which it is intended.<\/p>\n

8- SERVICES.<\/h3>\n

The Company undertakes to use its best efforts, in accordance with the rules of the trade, to carry out the Services. However, the Company’s obligations are
\nobligations only.
\nThe developments carried out by the Company result from the combination of routines developed by the Company, libraries acquired from various suppliers and the development environment, all elements for which the Company has a right of use for its customers. In addition, compiled versions or \u00ab\u00a0run times\u00a0\u00bb are made available to customers in accordance with the provisions of the environment software publisher’s rules.
\nThe Customer’s rights may not prejudice the rights and obligations of the Company or third parties in respect of any of the aforementioned elements.<\/p>\n

9- LEAD TIME AND DELIVERY.<\/h3>\n

The Company will notify the Customer when the hardware, Services or software
\nare ready.
\nThe delivery period runs from the date on which the deposit is received by the Company. In the absence of a request for an advance payment, the delivery period runs from the date of date of receipt by the Company of the purchase order or acceptance of the offer.
\nThe Company may only be held liable in the event of substantial delay attributable exclusively to gross negligence and intent on its part. The Customer has no right to refuse the Services, software and\/or hardware, to claim compensation or to dissolve the Contract on the grounds of late delivery.
\nUnless otherwise agreed, the hardware is deemed to have been delivered and received at the and the risk of loss or damage shall pass to the Customer as soon as the of loss or damage shall pass to the Customer as soon as the latter takes charge of the equipment. All rights and expenses whatsoever relating to transport and delivery, including packaging, insurance, storage and unloading, shall be borne exclusively by the Customer.<\/p>\n

10- ADDITIONAL WORK.<\/h3>\n

Any modification required by the Customer subsequent to the order confirmation and deviating from the initial agreement, or any additional service required to meet the Customer’s needs, will give rise to a price supplement and may result in an extension of the delivery or service deadline.
\nDuring the course of a project, excessive delays in the Customer’s response resulting in a delay in project delivery and unbudgeted mobilization of the Company’s teams will be considered as an additional service and invoiced as such at the daily rate.<\/p>\n

11- OBLIGATIONS OF THE CUSTOMER.<\/h3>\n

The Customer shall make available to the Company all documents, materials, data,
\ninfrastructure necessary or merely useful for the performance of the Services
\nServices provided for in the Contract and its amendments.
\nIn particular, the Company shall have at its disposal, where necessary, a workstation, access to the customer’s internal and external network, office facilities such as a reasonable workspace and Internet access.
\nThe customer is solely responsible for securing his network against internal and\/or external intrusions and\/or external intrusions, regular back-ups and back-ups of system data, unless system, unless it has been previously agreed between the Parties that the Company is responsible for this.
\nThe Customer designates a single point of contact (project manager, project leader
\nor contact person) responsible for answering the Company’s queries and facilitating

1- CHAMP D\u2019APPLICATION.<\/h3>\n

Les pr\u00e9sentes conditions g\u00e9n\u00e9rales (ci-apr\u00e8s d\u00e9nomm\u00e9es les \u00ab CGV \u00bb) r\u00e9gissent,
\nde mani\u00e8re exclusive les relations contractuelles entre
\n– le client (ci-apr\u00e8s d\u00e9nomm\u00e9 le \u00ab Client \u00bb) et
\n– Swiss Authentis S.A. (ci-apr\u00e8s d\u00e9nomm\u00e9e \u00ab Swiss Authentis \u00bb ou la \u00ab Soci\u00e9t\u00e9 \u00bb), soci\u00e9t\u00e9 \u00e9tablie en Suisse et inscrite au registre du commerce de Gen\u00e8ve sous le num\u00e9ro CHE-370.654.438
\nci-apr\u00e8s conjointement d\u00e9nomm\u00e9s les \u00ab Parties \u00bb.
\nLes conditions g\u00e9n\u00e9rales ou particuli\u00e8res du Client sont inopposables \u00e0 la Soci\u00e9t\u00e9.
\nLa conclusion de tout contrat entre les Parties entra\u00eene automatiquement l\u2019acceptation des pr\u00e9sentes CGV par le Client. Seules des conditions particuli\u00e8res pr\u00e9cis\u00e9es dans un contrat sign\u00e9 par les deux Parties, ou convenues par \u00e9crit entre les Parties permettent de d\u00e9roger aux CGV.
\nSuivant le contexte et sauf stipulation contraire :
\n– le terme \u201cClient\u201d dans les pr\u00e9sentes CGV doit \u00eatre interpr\u00e9t\u00e9 comme
\nsignifiant \u00e9galement tout prospect, partenaire ou contractant,
\n– le terme \u201cContrat\u201d doit \u00eatre interpr\u00e9t\u00e9 comme toute offre, devis, bon de
\ncommande accept\u00e9s, commande, contrat de services, contrat de licence
\nou tout autre accord juridique d\u00fbment sign\u00e9s par les Parties,
\n– les termes \u201cService\u201d ou \u201cServices\u201ddoivent \u00eatre compris comme toute
\nprestation de d\u00e9veloppement informatique, de cr\u00e9ation de programme
\ninformatique, de programmation logicielle, de param\u00e9trage de syst\u00e8me,
\nd\u2019h\u00e9bergement informatique, de fourniture de mat\u00e9riel, de fourniture de
\nconsommables, d\u2019analyse de projet, de coordination de projet, de maintenance
\nde logiciel (software), de maintenance de mat\u00e9riel (hardware), d\u2019assistance, effectu\u00e9e et\/ou commercialis\u00e9e par la Soci\u00e9t\u00e9.
\nToute prestation accomplie par la Soci\u00e9t\u00e9 implique l’adh\u00e9sion sans r\u00e9serve du client aux pr\u00e9sentes CGV.<\/p>\n

2- VALIDIT\u00c9 ET CONFIRMATION DE L\u2019OFFRE.<\/h3>\n

Toutes les offres chiffr\u00e9es \u00e9mises par la Soci\u00e9t\u00e9, qu\u2019elles soient d\u00e9nomm\u00e9es devis,
\nfacture proforma, offre, offre technique ou offre financi\u00e8re (ci-apr\u00e8s d\u00e9nomm\u00e9e \u00ab
\nOffre \u00bb), ont une dur\u00e9e de validit\u00e9 indiqu\u00e9e sur l\u2019Offre. \u00c0 d\u00e9faut d\u2019indication, la dur\u00e9e de validit\u00e9 est r\u00e9put\u00e9e \u00eatre de 10 jours calendaires \u00e0 compter de la date de remise de l\u2019Offre au Client.
\nToute Offre de la Soci\u00e9t\u00e9 est r\u00e9put\u00e9e accept\u00e9e par le Client d\u00e8s lors que ce dernier
\nconfirme son accord par tout moyen archivable (lettre, e-mail, enregistrement vocal, bon de commande, retour de l\u2019Offre sign\u00e9e), ou valide l\u2019offre en effectuant le premier paiement convenu. Le Contrat entre alors en vigueur. Ce Contrat pourra \u00eatre d\u00e9nonc\u00e9 \u00e0 tout moment par la Soci\u00e9t\u00e9 dans le cas o\u00f9 le Client ne proc\u00e8derait pas aux paiements convenus.<\/p>\n

3- MISE \u00c0 JOUR DES CGV.<\/h3>\n

La Soci\u00e9t\u00e9 se r\u00e9serve le droit de modifier ses CGV \u00e0 tout moment. La version des
\nCGV r\u00e9gissant le Contrat demeure celle en vigueur au moment auquel la commande a \u00e9t\u00e9 confirm\u00e9e.<\/p>\n

4- PRIX.<\/h3>\n

Selon les termes du Contrat, les prix des Services peuvent \u00eatre soit exprim\u00e9s sous
\nforme de forfaits (prix unitaires), soit factur\u00e9s en fonction du temps de travail effectu\u00e9 (tarif en r\u00e9gie).
\nLes prix s\u2019entendent hors TVA ou toute autre taxe, imp\u00f4ts, droits et frais quelconques, sauf mention contraire explicite dans le Contrat.
\nLes \u00e9ventuelles r\u00e9clamations concernant les factures de la Soci\u00e9t\u00e9 doivent parvenir \u00e0 Swiss Authentis dans les huit (8) jours calendaires suivant la r\u00e9ception de facture par le Client.<\/p>\n

5- MODES DE PAIEMENT.<\/h3>\n

Le r\u00e8glement des acomptes et factures s’effectue :
\n– soit par virement bancaire sur le compte bancaire de la Soci\u00e9t\u00e9 indiqu\u00e9
\nsur la facture,
\n– soit en ligne par carte bancaire,
\nou par tout autre moyen conjointement convenu par \u00e9crit entre la Soci\u00e9t\u00e9 et le
\nClient.<\/p>\n

6- RETARD DE PAIEMENT.<\/h3>\n

Les factures non pay\u00e9es \u00e0 l\u2019\u00e9ch\u00e9ance sont major\u00e9es, sans mise en demeure, d\u2019un
\nint\u00e9r\u00eat de 10% par an (5% pour les personnes physiques).
\nToute facture non pay\u00e9e \u00e0 sa date d\u2019\u00e9ch\u00e9ance entra\u00eenera de plein droit le paiement
\npar le client d\u2019une indemnit\u00e9 forfaitaire, selon la devise de facturation, de 30 CHF,
\n30 EUR ou 30 USD, par relance effectu\u00e9e.
\nLorsque le Client ne paie pas dans le d\u00e9lai convenu, la Soci\u00e9t\u00e9 est, de plus, en droit, sans pr\u00e9judice de son droit au remboursement des d\u00e9pens conform\u00e9ment aux dispositions l\u00e9gales, de suspendre ses propres obligations.<\/p>\n

7- LICENCE.<\/h3>\n

En cas de Contrat portant sur un logiciel, la Soci\u00e9t\u00e9 accorde au Client, contre paiement d\u2019une redevance, pour une dur\u00e9e ind\u00e9termin\u00e9e en tant que droit personnel, une licence non exclusive et non transf\u00e9rable d\u2019utilisation de ce logiciel, et les routines et autres \u00e9l\u00e9ments de propri\u00e9t\u00e9 intellectuelle int\u00e9gr\u00e9s dans ce logiciel, et, le cas \u00e9ch\u00e9ant, des versions futures, upgrades et mises \u00e0 jour de ceux-ci.
\nCes logiciels et les d\u00e9nominations commerciales s\u2019y rapportant resteront l\u2019enti\u00e8re
\npropri\u00e9t\u00e9 de la Soci\u00e9t\u00e9 ou de son fournisseur et ne pourront, en aucun cas, \u00eatre
\nmodifi\u00e9s ou dupliqu\u00e9s par le Client ou \u00eatre utilis\u00e9s \u00e0 d\u2019autres fins que la stricte application \u00e0 laquelle ils sont destin\u00e9s.<\/p>\n

8- PRESTATIONS.<\/h3>\n

La Soci\u00e9t\u00e9 s\u2019engage \u00e0 donner ses meilleurs soins, conform\u00e9ment aux r\u00e8gles de l\u2019art, afin de mener \u00e0 bien les Services. Les obligations de la Soci\u00e9t\u00e9 ne constituent
\ncependant que des obligations de moyens.
\nLes d\u00e9veloppements r\u00e9alis\u00e9s par la Soci\u00e9t\u00e9 r\u00e9sultent de la combinaison de routines d\u00e9velopp\u00e9es par la Soci\u00e9t\u00e9, de librairies acquises aupr\u00e8s de divers fournisseurs et de l\u2019environnement de d\u00e9veloppement, tous ces \u00e9l\u00e9ments pour lesquels la Soci\u00e9t\u00e9 dispose d\u2019un droit d\u2019utilisation pour sa client\u00e8le. En outre les versions compil\u00e9es ou \u00ab run times \u00bb sont mis \u00e0 disposition des Clients conform\u00e9ment aux dispositions des r\u00e8gles de l\u2019\u00e9diteur des logiciels d\u2019environnement.
\nLes droits du Client ne peuvent porter pr\u00e9judice aux droits et obligations de la Soci\u00e9t\u00e9 ou des tiers sur chacun des \u00e9l\u00e9ments pr\u00e9cit\u00e9s.<\/p>\n

9- D\u00c9LAI ET LIVRAISON.<\/h3>\n

La Soci\u00e9t\u00e9 avertira le Client au moment o\u00f9 le mat\u00e9riel, les Services ou le logiciel
\nseront pr\u00eats.
\nLe d\u00e9lai de livraison court \u00e0 compter de la date de r\u00e9ception de l\u2019acompte par la
\nSoci\u00e9t\u00e9. \u00c0 d\u00e9faut de demande d\u2019acompte, le d\u00e9lai court \u00e0 compter de la date de
\nr\u00e9ception par la Soci\u00e9t\u00e9 du bon de commande ou de l\u2019acceptation de l\u2019offre.
\nLa responsabilit\u00e9 de la Soci\u00e9t\u00e9 ne pourra \u00eatre engag\u00e9e qu\u2019en cas de retard important et imputable exclusivement \u00e0 une faute lourde et intentionnelle de sa part. Le Client n\u2019a aucun droit de refuser les Services, le logiciel et\/ou le mat\u00e9riel, d\u2019exiger des d\u00e9dommagements compensatoires ou la dissolution du Contrat pour cause de retard de livraison.
\nSauf convention contraire, le mat\u00e9riel est consid\u00e9r\u00e9 comme livr\u00e9 et r\u00e9ceptionn\u00e9 au
\nsi\u00e8ge de la Soci\u00e9t\u00e9, et les risques de perte ou de dommages seront transf\u00e9r\u00e9s au Client d\u00e8s la prise en charge du mat\u00e9riel par celui-ci. Tous droits et frais\u00a0 quelconques relatifs au transport et \u00e0 la livraison, en ce compris l\u2019emballage, les assurances, l\u2019entreposage et le d\u00e9chargement, sont \u00e0 charge exclusive du Client.<\/p>\n

10- TRAVAUX SUPPL\u00c9MENTAIRES.<\/h3>\n

Chaque modification exig\u00e9e par le Client post\u00e9rieurement \u00e0 la confirmation de commande et s\u2019\u00e9cartant de l\u2019accord initial ou chaque prestation suppl\u00e9mentaire n\u00e9cessaire pour r\u00e9pondre aux besoins du Client engendrera un suppl\u00e9ment de prix et pourra entra\u00eener l\u2019allongement du d\u00e9lai de livraison ou de prestation.
\nEn cours de projet, les d\u00e9lais excessifs de r\u00e9ponse du Client occasionnant un retard de livraison du projet et une mobilisation non budg\u00e9t\u00e9e des \u00e9quipes de la Soci\u00e9t\u00e9 seront consid\u00e9r\u00e9s comme une prestation suppl\u00e9mentaire et factur\u00e9e comme telle au taux journalier.<\/p>\n

11- OBLIGATIONS DU CLIENT.<\/h3>\n

Le Client met \u00e0 disposition de la Soci\u00e9t\u00e9 tous les documents, mat\u00e9riels, donn\u00e9es,
\nr\u00e9seau, infrastructures n\u00e9cessaires ou simplement utiles \u00e0 l\u2019accomplissement des
\nServices pr\u00e9vus dans le Contrat et dans ses avenants.
\nLa Soci\u00e9t\u00e9 disposera notamment, en cas de besoin, d\u2019un poste de travail, d\u2019un acc\u00e8s au r\u00e9seau interne et externe du client, de facilit\u00e9s de bureau telles qu\u2019un espace de travail raisonnable et d\u2019un acc\u00e8s Internet.
\nLe Client se charge seul de la s\u00e9curit\u00e9 de son r\u00e9seau contre les intrusions internes
\net\/ou externes, des copies de sauvegarde et back-ups r\u00e9guliers des donn\u00e9es de
\nson syst\u00e8me, sauf s\u2019il a \u00e9t\u00e9 pr\u00e9alablement convenu entre les Parties que cette responsabilit\u00e9 incombait \u00e0 la Soci\u00e9t\u00e9.
\nLe Client d\u00e9signe un interlocuteur unique (responsable de mission, chef de projet
\nou personne de contact) charg\u00e9e de r\u00e9pondre aux demandes de la Soci\u00e9t\u00e9 et de
\nfaciliter la compr\u00e9hension des structures et modes de fonctionnement du Client
\nainsi que de ses propres clients, fournisseurs et\/ou tout autre interlocuteur du Client impliqu\u00e9 dans le projet.
